These Terms govern the supply of services by PiK Management Services ("PiK", "we", "us") to you, the client ("you"). By engaging our services you agree to these Terms. They work alongside our Privacy Policy and, where applicable, our Data Processing Agreement.
1. Our service
PiK sets up and operates a configured set of AI-assisted agents that handle communications, research, bookings, and administrative tasks across the channels and tools you authorise. The specific scope, channels, and automations are agreed with you at setup and may be recorded in an order form or written summary.
2. The Hold-and-Flag principle
This is central to how our service works and to your responsibilities. Our system drafts and prepares work automatically, but by default it does not commit you to anything carrying financial or contractual weight — such as payments, contracts, or binding bookings — without a human decision first. Items of this kind are held and flagged for your approval.
You may choose to grant specific automations a higher level of autonomy (for example, allowing routine booking confirmations to send without individual approval). Where you do so, you accept responsibility for actions taken within that authorised scope.
3. Your responsibilities
Provide accurate information and lawful access to the accounts and tools to be connected.
Ensure you have the right to connect those accounts and to authorise us to process data within them, including any data belonging to your own customers.
Review and approve items that are held and flagged for your decision in a timely manner.
Ensure the content you approve, and the use of the service, complies with applicable law and any platform terms (e.g. messaging platform policies).
Maintain your own booking, payment, and business systems that we integrate with.
4. AI limitations and human oversight
Our service uses artificial intelligence, which can occasionally produce inaccurate, incomplete, or inappropriate output. The Hold-and-Flag principle and your review of flagged items are the primary safeguards. You remain responsible for the final content sent or actions taken under your accounts once approved by you, or once sent within an autonomy level you have authorised.
5. Fees and payment
Fees are charged as a flat monthly fee for your chosen plan, as quoted to you.
Fees are billed monthly in advance unless otherwise agreed.
The initial Business Health Check / audit is provided free of charge and carries no obligation.
Late or failed payment may result in suspension of the service after reasonable notice.
6. Term and cancellation
There is no long-term contract lock-in. Either party may cancel with one month's written notice. On cancellation we will wind down the service, cease processing, and delete or return your data in line with our Privacy Policy and Data Processing Agreement.
7. Data protection
Each party will comply with applicable data protection law. Where we process personal data on your behalf, we do so as your processor under the terms of our Data Processing Agreement, which forms part of these Terms where relevant.
8. Confidentiality
Each party will keep the other's confidential information secure and use it only to perform or receive the service.
9. Liability
Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud).
Subject to that, PiK is not liable for indirect or consequential loss, loss of profit, revenue, business, or data.
Subject to that, PiK's total liability arising from the service in any 12-month period is limited to the total fees paid by you to PiK in that period.
PiK is not responsible for outcomes resulting from content or actions you approved, or actions taken within an autonomy level you authorised, nor for failures of third-party platforms, tools, or providers outside our reasonable control.
10. Changes to these Terms
We may update these Terms from time to time. We will give reasonable notice of material changes; continued use of the service after changes take effect constitutes acceptance.
11. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
